Terms and Conditions

The following are the terms and conditions governing the sale of products by Xiongshengxin Technology Co., Ltd. (XSX) to its customers.

The agreement under these Terms and Conditions of Sale constitutes the sole agreement for the sale of products and supersedes all prior oral or written proposals, negotiations, conversations, discussions, agreements, and/or representations, including any trade customs or prior dealings between the parties regarding the sale of products.

1. Order Acceptance and Cancellation
   Product availability and pricing on the website constitute an invitation to treat for the customer. Acceptance shall be made in writing via an “Order Confirmation” email or Electronic Data Interchange (“EDI”) confirmation. Acceptance may also occur through XSX’s execution of the customer’s order. When a customer orders products from the XSX website, the initial written response to the order on the XSX website does not constitute acceptance of the order. This written response solely informs the customer that the order has been entered into (XSX)’s computer system. With (XSX)’s written consent, the customer may cancel an order accepted by (XSX), provided the order is not “NC/NR” (“Non-Cancelable/Non-Returnable”), a “Non-Standard Product,” or subject to a Purchase Agreement. Non-standard products are items that (XSX) must order specifically for the customer from suppliers. This also includes products not typically held in stock or orders incorporating value-added services into the product. Non-standard products are non-cancellable and non-refundable. (XSX) may identify products as non-standard or “NC/NR” through various means, including quotations, product listings, attachments, or exhibits. Customers may not modify, cancel, or reschedule product orders without (XSX) consent. If a customer cancels an order after (XSX) has accepted it, (XSX) may require the customer to pay reasonable cancellation or reliance fees. These fees are payable by the customer to (XSX). (XSX) reserves the right to accept or decline customer rescheduling requests at its sole discretion. Orders may not be canceled or rescheduled after (XSX) submits them to the shipping carrier. (XSX) reserves the right to restrict or cancel any order and possesses sole discretion to allocate sales, limit quantities of selected products, and restrict availability of selected products to its customers. (XSX) reserves the right to refuse any order or any part thereof. Product specifications and availability are subject to change without notice.
2. 1a. Returns
3. For customer convenience, (XSX) generally accepts returns completed within 30 days of shipment. If (XSX) agrees to accept a return, the customer must pre-pay return shipping costs. (XSX) does not accept cash on delivery (COD) returns. OD) Shipping Method. Some products may require direct return to the manufacturer. All returned items must be in original packaging, unused, untested, unprogrammed, and in resalable condition. Before returning any product, contact a customer service representative to obtain a Return Authorization Number and return instructions. No refunds will be issued for any opened ESD, programmable semiconductor, or humidity-sensitive products. These return statements do not apply to non-cancellable/non-returnable products. 4. 1b. Counterfeit Product Prevention Clause
5. Only products originally shipped by (XSX) or by a supplier designated by (XSX) (direct drop-shipment) may be returned to (XSX). All other products will be promptly isolated and disposed of, or returned to the customer. By returning products to (XSX), the customer certifies that the products were purchased from (XSX) and have not been wholly or partially replaced with identical products from other suppliers, distributors, or similar sources. Returns must be in original packaging (manufacturer or XSX), unused, and untested (except for defective items). ESD, programmable semiconductor, or humidity-sensitive products are non-returnable once opened.
6. Tax Matters
7. Customers are responsible for paying all applicable taxes and duties when products purchased from (XSX) are delivered to their country or region. XSX shall not be held liable for any consequences resulting from the destruction or return of goods due to the customer’s failure to pay required taxes.
